These Terms and Conditions ("Terms") govern your access to and use of the website located at www.vital-light.com ("Website"), operated by Vital Light, a company legally registered in Portugal ("Vital Light", "we", "us", or "our"). By accessing, browsing, or otherwise using the Website or purchasing our products, you agree to be legally bound by these Terms. If you do not agree to be bound by these Terms, you must not use this Website or purchase any products from us.

1. Introduction

This Website and its associated services and products are offered to you subject to your acceptance without modification of all terms, conditions, and notices contained herein. These Terms constitute a legally binding agreement between you and Vital Light, governing your access to and use of our services, including without limitation any purchases made via the Website.

Your use of the Website and our services signifies your acknowledgment that you have read, understood, and agreed to these Terms, including any additional guidelines, restrictions, or rules that may be posted in connection with specific sections or services of the Website.

For purposes of this Agreement, the following terms shall have the meanings set forth below:

  • “You” or “User” means the individual accessing or using the Website, or the company, or legal entity on behalf of which such individual is accessing or using the Website.
  • “Products” means the luminous and LED-based lighting items available for purchase through the Website.
  • “Services” includes all digital, logistical, and customer service functions provided through the Website
  • “Site” or “Website” refers to the digital platform hosted at www.vital-light.com.
  • “Contract” means the legally binding agreement formed when you place an order and we accept it.

Vital Light is a legally registered business entity in Portugal. All contractual relationships formed through use of this Website are governed by Portuguese law, irrespective of where you are accessing the Website or where the Products are delivered.

We reserve the right to deny access to any individual without notice and for any reason, including but not limited to violations of these Terms.

While most purchases can be made without creating an account, certain features of the Website may require registration. If you choose to register:

  • You agree to provide accurate, current, and complete information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to accept full responsibility for all activities under your account.

We reserve the right to suspend or terminate any account that is found to be in breach of these Terms or that we suspect is being used in an unauthorized or fraudulent manner.

6. Product Information

We strive to ensure that the information on our Website is accurate, complete, and up to date. However, we do not warrant that the product descriptions, photographs, pricing, or other content is error-free. All Product offerings are subject to availability and we reserve the right to discontinue any Product at any time without notice.

7. Order Acceptance & Contract Formation

Your order constitutes a binding offer to purchase the selected Products, which we may accept or reject at our sole discretion. A contract between you and Vital Light is only formed upon:

  1. Receipt of a confirmation email acknowledging your order; and
  2. Our dispatch of the Product(s) to your designated address.

We reserve the right to cancel or limit orders for any reason, including suspected fraud, unauthorized resale, or violation of these Terms.

Order Cancellations or Modifications:

Once your order is placed, it is processed for shipment immediately. If you wish to cancel or modify your order, you must email us as soon as possible at info@vital-light.com. We will do our best to accommodate your request, but we cannot guarantee changes once processing has started. Please verify all details before completing your purchase.

8. Pricing & Payment

All prices displayed on the Website are listed in euros (€), unless otherwise specified, and are inclusive of applicable VAT or sales tax as required by Portuguese and EU law. Prices do not include shipping fees, which are calculated and presented during checkout.

We accept payment via major credit cards, debit cards, and third-party payment processors, including but not limited to Stripe and PayPal. You agree that:

  • By submitting an order, you authorize us (or our third-party payment processor) to charge the full amount to your selected payment method.
  • All billing and account information you provide must be truthful and accurate.
  • We are not responsible for payment failures due to inaccurate information or declined transactions.

We reserve the right to correct pricing errors or to cancel orders that arise from such errors, even after the order has been confirmed.

9. Shipping & Delivery

We ship to all European countries. While we aim to ensure timely delivery, all stated delivery times are estimates and not guaranteed.

Estimated Timeframes:

  • Order Preparation: 1–2 working days from order confirmation
  • Shipping Transit: 5–8 working days for most European destinations

The customer acknowledges and agrees to the following:

  • Delivery Delays: Delivery timelines may be affected by customs inspections, holidays, weather disruptions, or issues beyond our control. Vital Light is not responsible for such delays.
  • Third-Party Logistics: We rely on external courier services and cannot guarantee their performance or the consistency of their tracking systems.
  • Tracking Responsibility: Customers are responsible for tracking their shipment and coordinating receipt. We cannot ensure delivery notifications beyond dispatch confirmation.
  • Damaged Packages:
    • If a package arrives damaged and someone is present at delivery, the customer must request the courier to take clear photographs, document the damage, and file a formal incident report. This evidence is required to support any compensation claim.
    • If the package is left unattended (e.g., left at the door) and arrives damaged, the customer must take clear photographs or video immediately upon discovering the package and send the evidence to info@vital-light.com within 24 hours of delivery.
  • Lost Packages:
    • If the tracking number has not been updated for an extended period or the package appears stalled, the customer must file a claim with the local courier and notify us.
    • If the tracking system shows “Delivered” but the customer claims non-receipt, Vital Light cannot assume liability. In such cases, the customer must resolve the issue directly with the courier service.
  • Incorrect Address: The customer is solely responsible for providing accurate shipping details. Vital Light is not liable for any issues arising from incorrect or incomplete address information (e.g., wrong house number, postal code). Any recovery or redirection efforts must be coordinated directly with the courier.

10. Returns and Refunds

We accept returns within 30 days of delivery (with no obligation to buy), provided the following conditions are met:

  • Products must be unused, undamaged, and returned in original packaging.
  • Return shipments must be made at the customer's expense to our designated facility in Portugal.
  • We do not accept liability for lost or damaged return shipments. Customers must ensure tracking and adequate packaging.
  • If the returned item does not arrive in good, resalable condition (e.g., opened, used, damaged), the customer may be responsible for additional shipping costs or may not receive a refund.
  • Refunds will cover the product price only. Shipping charges (both original and return) are non-refundable.
  • Returns received in unacceptable condition will not be eligible for refund.

No exchanges are permitted. We reserve the right to issue store credit in lieu of refunds where appropriate under local law.

11. Warranty

All Products are covered by a two-year warranty against manufacturing defects, in compliance with the applicable consumer protection laws. This warranty covers:

  • Defects in materials or workmanship arising under normal usage
  • Products that fail to function as intended through no fault of the customer

This warranty does not cover:

  • Damage caused by misuse, abuse, accidents, or modifications
  • Damage resulting from exposure to weather, electrical surges, or negligence

Warranty claims require the customer to:

  • Ship the item to our facility in Portugal at their own cost
  • If the product is found defective, Vital Light will repair or replace it and cover return shipping
  • The customer is responsible for return shipping in all cases; if the product is confirmed defective, Vital Light will pay for shipping it back to the customer.

12. Right of Withdrawal (EU Customers)

In accordance with Directive 2011/83/EU, customers residing in the European Union have the legal right to withdraw from their purchase within 14 days of delivery without providing any reason. To exercise this legal right, you must:

  • Notify us in a clear, written statement (email is sufficient) within 14 calendar days of receiving the item
  • Return the item within 14 days of notifying us of your decision

Refunds under this statutory right will be issued to the original payment method. Return shipping costs are the responsibility of the customer unless otherwise provided by law.

Additionally, Vital Light voluntarily offers a 30-day return window for customers who wish to return unused and undamaged products in their original condition and packaging. This extended policy is offered for customer convenience and does not affect your legal rights.

Returns under this voluntary 30-day policy are also at the customer's expense and subject to inspection upon arrival. Items received damaged or in unsellable condition may not be eligible for a refund.

This right of withdrawal does not apply to:

  • Customized or personalized products
  • Sealed goods that were unsealed after delivery and are not suitable for return due to health or hygiene reasons

13. User Obligations and Conduct

By using this Website, you agree not to:

  • Use the Website in a manner that violates any applicable laws or regulations
  • Interfere with the Website’s operation, or gain unauthorized access to our systems
  • Misrepresent your identity or affiliation
  • Post or transmit any unlawful, defamatory, or harmful content
  • Use any automated systems or bots to extract data or content

Violation of these terms may result in the immediate termination of your access and legal action, where applicable.

Users are granted a limited, non-exclusive, non-transferable license to access and use the Website for personal, non-commercial purposes only. Any reproduction, modification, distribution, or exploitation of the content without prior written consent from Vital Light is strictly prohibited.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Vital Light shall not be liable for any indirect, incidental, special, punitive, or consequential damages whatsoever, including but not limited to damages for loss of profits, data, goodwill, use, or other intangible losses, arising out of or in connection with:

  • The use or inability to use the Website or Products;
  • Delays or failures in delivery;
  • Unauthorized access to or alteration of your transmissions or data;
  • Statements or conduct of any third party on the Website.

In no event shall our total liability to you for all claims exceed the amount paid by you for the Product(s) giving rise to such claim. This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or otherwise.

16. Disclaimer of Warranties

The Website and all Products and services provided therein are offered on an "as-is" and "as-available" basis. To the fullest extent permitted by law:

  • We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We make no warranty that the Website will be uninterrupted, secure, error-free, or free of viruses or other harmful components.
  • We do not warrant the accuracy or completeness of information on the Website.

Vital Light does not provide medical advice. Any health-related claims or implications made on the Website are purely informational and not intended to substitute professional medical guidance. Always consult with a qualified healthcare provider regarding any concerns related to health, sleep, or well-being.

18. Force Majeure

We shall not be held liable for any failure or delay in performance arising from causes beyond our reasonable control, including but not limited to natural disasters, war, acts of terrorism, labor strikes, governmental restrictions, pandemics, power outages, internet or telecommunications failures, or third-party service interruptions.

Such events will suspend our obligations for the duration of the force majeure condition.

19. Indemnification

You agree to indemnify, defend, and hold harmless Vital Light, its directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms;
  • Your misuse of the Website or Products;
  • Any violation of law or the rights of a third party.

This indemnity obligation will survive the termination of these Terms and your use of the Website.

20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms, the Website, or the Products shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal. You waive any objection to the venue or jurisdiction of such courts.

21. Dispute Resolution

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through informal negotiation, to be initiated by written notice. If the dispute is not resolved within thirty (30) days of such notice, either party may pursue remedies in the appropriate court.

Nothing in this section shall prevent either party from seeking injunctive relief or equitable remedies in case of immediate harm or breach of intellectual property rights.

22. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Failure by Vital Light to enforce any provision of these Terms shall not constitute a waiver of our right to subsequently enforce that or any other provision.

23. Modification of Terms

We reserve the right to amend or update these Terms at any time, in our sole discretion. Changes will take effect upon being posted on this Website. It is your responsibility to review these Terms periodically for any updates.

Your continued use of the Website following any changes signifies your acceptance of the revised Terms. If you do not agree to the amended Terms, you must discontinue use of the Website and refrain from placing further orders.

24. Entire Agreement

These Terms, along with our Privacy Policy, Cookie Policy, and any additional legal notices published by us, constitute the entire agreement between you and Vital Light regarding the use of the Website and the purchase of Products.

They supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us with respect to the Website and its contents.
